Partner Program Policy

This Partner Program Policy (“Policy”) sets out how the GintiDesk Partner Program works: who may join, how referrals are tracked, how commission is earned and paid, and the rules every partner must follow. It is issued by GintiDesk Technologies, Shop No. 449, Wall Street Business Hub, Opp. Avadh Utopia, Surat, Gujarat - 394550 (“GintiDesk”, “we”, “our”, or “us”).

This Policy applies in addition to our Terms of Service and Privacy Policy. Joining the Partner Program requires a separate acceptance of this Policy, even if you already hold a GintiDesk account.

Only for a PAN not registered under GST The Partner Program is only for a PAN that is NOT registered under GST. Commission is paid without GST; only tax deducted at source (TDS) is deducted as per law. A PAN that has a GST registration cannot join, and if a Partner’s PAN is registered under GST later, referral rewards stop (see Section 8).

1. Definitions

  • “Partner” — a person accepted into the Partner Program.
  • “Referral Code” — the unique code given to a Partner; “Referral Link” — a web link that carries it.
  • “Referred Customer” — a GintiDesk customer account that was created with a Partner’s Referral Code, as recorded by GintiDesk at the moment the account was created.
  • “Qualifying Payment” — a payment for a GintiDesk subscription plan, renewal or voucher pack, successfully received by GintiDesk from a Referred Customer’s account, and not reversed or charged back.
  • “Plan Amount” — the price of the plan or pack paid for, excluding the GST charged to the customer.
  • “Hold Period” — 30 days from the date of a Qualifying Payment.
  • “Partner Panel” — the Partner’s dashboard in GintiDesk, where referrals, commission and payouts are shown.

2. Who May Join

Anyone may apply to join — including chartered accountants, tax practitioners, consultants and individuals — provided that:

  • You are at least 18 years of age and legally capable of entering into a binding contract.
  • You provide a valid Permanent Account Number (PAN). The PAN is mandatory — it is used for tax deduction and to prevent self-referral.
  • Your PAN is NOT registered under GST. You must declare this when joining. GintiDesk also checks the PAN against the GST registrations known to it, and a PAN found to be registered under GST cannot join, even with the declaration.
  • One PAN may hold only one Partner account. A PAN already registered in the Partner Program cannot be used to register again.
  • All information you provide is true, complete and kept up to date.

You may join in either of two ways:

  • Through the Partner Program sign-up page, which creates a Partner login; or
  • With an existing GintiDesk login (for example, a CA practice account or a business account), from inside GintiDesk. No second login is needed. The PAN given for the Partner Program must itself not be registered under GST; a business whose own PAN is registered under GST may join only with a different PAN that is not.
Record of consent and declaration Your acceptance of this Policy and your declaration that your PAN is not registered under GST are recorded each time you join — the version of this Policy you accepted, the date and time, the IP address and the browser used, and whether you joined through the sign-up page or with an existing login.

3. Referral Code and Referral Link

  • Every Partner receives a unique Referral Code and a Referral Link, shown in the Partner Panel.
  • A customer who opens a Referral Link has the code filled in on the GintiDesk sign-up form. The code is remembered in that browser for 30 days; the customer may change or remove it before signing up.
  • A customer who uses a Referral Code must provide their business PAN at sign-up.
  • The referral is recorded at the moment the customer’s account is created. A Referral Code cannot be added to, changed on, or moved to a different Partner for an account after it has been created.
  • Each customer account can be referred by only one Partner.

4. Commission

  • The commission is 5% (five per cent) of the Plan Amount of each Qualifying Payment.
  • Commission is earned on every Qualifying Payment by the Referred Customer — the first plan, every renewal and every additional voucher pack — for as long as the customer continues to pay for GintiDesk. There is no time limit.
  • If the Referred Customer does not renew, or stops using GintiDesk, there is no payment and therefore no commission.
  • The commission rate that applies to a payment is recorded with that payment’s commission. A change of rate applies only to payments made after the change.
  • A different rate may apply only where GintiDesk has agreed it with a Partner in writing.

5. When No Commission Is Earned

No commission is earned on:

  • Self-referrals — where the Referred Customer has the same PAN as the Partner, whether given at sign-up or contained in any GSTIN on the customer’s account, companies or payments (see Section 6).
  • The GST charged to the customer on any payment.
  • Payments that are reversed or charged back, and duplicate payments.
  • Free trials, or any period for which no payment is received.
  • Payments received while the Partner’s account is suspended.
  • Payments received after the Partner’s PAN is found to be registered under GST (see Section 8).
  • Accounts or payments that are fake, fraudulent or created to earn commission rather than to use GintiDesk.

6. Self-Referral — Ineligible Referrals

A Partner cannot earn commission on their own business. Self-referral is decided by PAN: the PAN of the Referred Customer is compared with the Partner’s PAN, including the PAN contained in any GSTIN.

  • If the PANs match, the customer’s account is still created and works normally — the customer may use GintiDesk and buy any plan.
  • The referral is marked “Ineligible” in the Partner Panel, with the reason, and no commission is earned on any of that customer’s payments.
  • The check is made at sign-up and again on every payment. If a matching PAN or GSTIN is added to the customer’s account later, the referral becomes Ineligible from that payment onwards, and remains so.

7. Hold Period and Reversal

  • Commission on a Qualifying Payment is shown as “On hold” during the Hold Period of 30 days, and becomes “Payable” after it.
  • If the payment is reversed or charged back before the commission is paid out, the commission is cancelled.
  • If the payment is reversed or charged back after the commission has been paid out, an equal amount is deducted from the Partner’s future payouts.

8. If Your PAN Is Registered Under GST Later

  • You must inform GintiDesk in writing within 7 days if the PAN used for the Partner Program is registered under GST.
  • From the time GintiDesk finds the PAN registered under GST — whether you inform us or GintiDesk finds it itself — no commission is earned on new payments, and no payout is made to that Partner account, including of commission not yet paid out.
  • The Partner Panel will show that referral rewards have stopped.
  • To continue in the Partner Program, you may create a new Partner account with a PAN that is not registered under GST. Customers already referred remain with the original Partner account; they are not moved to the new one.

9. Payouts

  • Payouts are made once a month, by bank transfer or UPI, to the account details recorded by the Partner in the Partner Panel.
  • A payout is made only when the total Payable commission is at least ₹500. A smaller amount is carried forward to the next month.
  • Every payout is shown in the Partner Panel with the gross amount, the tax deducted, the net amount and the bank transaction reference (UTR).
  • The Partner is responsible for the accuracy of the bank and UPI details provided. GintiDesk is not responsible for a transfer made to the details the Partner provided.
  • All amounts are in Indian Rupees.

10. Taxes

  • Commission is paid without GST. The Partner Program is only for a PAN not registered under GST (Sections 2 and 8).
  • Tax is deducted at source under Section 194H of the Income-tax Act, 1961, at the rate applicable at the time of payment (presently 2% where a valid PAN is available), once the total commission paid to the Partner in a financial year exceeds the threshold prescribed by law (presently ₹20,000). When the threshold is crossed, tax is deducted on the whole of that year’s commission, including amounts paid earlier in the year without deduction.
  • Where a valid PAN is not available, tax is deducted at the higher rate required by law.
  • Tax deducted is deposited and reported against the Partner’s PAN as required by law.
  • Each Partner is responsible for their own income-tax obligations on the commission received.

11. What the Partner Can See

For each Referred Customer, the Partner Panel shows the business name, the business type chosen at sign-up, the sign-up date, whether the referral is Payment pending, Paid or Ineligible, the Plan Amounts paid, and the commission. The customer’s email address and mobile number are shown only in masked form.

The Partner must keep this information confidential, use it only for the purposes of the Partner Program, and comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023.

GintiDesk processes the Partner’s own information — including PAN and bank details — to run the Partner Program, make payouts and meet tax obligations, as described in our Privacy Policy.

12. Partner Conduct

A Partner must:

  • Describe GintiDesk honestly and accurately, and never make claims about its features, prices or results that GintiDesk does not make.
  • Not promise any discount, offer or commitment on GintiDesk’s behalf.
  • Not present themselves as an employee, agent or representative of GintiDesk.
  • Not send unsolicited or bulk messages (spam), and comply with our Anti-Spam Policy.
  • Use the GintiDesk name and logo only as permitted by our Trademark Policy, and not bid on the GintiDesk name in paid search advertising without our written permission.
  • Not create, or ask others to create, fake, dummy or duplicate accounts.
  • Comply with all laws applicable to their activities.

13. Professionals

Partners who are members of a professional body — for example, the Institute of Chartered Accountants of India — are solely responsible for ensuring that their participation in the Partner Program, and any disclosure to their clients, complies with the rules and code of ethics of that body.

14. Relationship

A Partner is an independent party. Nothing in this Policy creates an employment, agency, partnership or joint venture relationship between the Partner and GintiDesk. A Partner has no authority to bind GintiDesk. Participation is non-exclusive.

15. Suspension and Termination

  • GintiDesk may suspend or terminate a Partner’s participation for a breach of this Policy, fraud, misuse, or inaccurate information — including an incorrect declaration that the PAN is not registered under GST.
  • While suspended, no commission is earned on new payments by the Partner’s Referred Customers.
  • Commission obtained through fraud or a breach of this Policy is forfeited, and any amount already paid may be recovered or set off against future payouts.
  • A Partner may leave the Partner Program at any time by writing to us. Commission already earned in accordance with this Policy is paid under Sections 7 to 10.

16. Records and Disputes About Commission

Sign-ups, payments, commission and payouts are calculated from GintiDesk’s system records, which are shown to the Partner in the Partner Panel. A Partner who believes an entry is wrong should write to us within 60 days of the entry appearing in the Partner Panel, with the details. We will review it and respond.

17. Changes to This Policy and to the Program

  • We may update this Policy or the Partner Program. Changes will be published on this page with a new effective date and notified to Partners through the Partner Panel or by email.
  • Where required, Partners will be asked to accept the updated Policy.
  • A change does not reduce commission already earned.
  • If the Partner Program is discontinued, commission already earned in accordance with this Policy will be paid.

18. Limitation of Liability

To the extent permitted by law, GintiDesk’s total liability to a Partner in connection with the Partner Program is limited to the commission that is due and unpaid under this Policy. GintiDesk is not liable for any indirect, incidental or consequential loss, or for any loss of business or profit.

19. Governing Law and Jurisdiction

This Policy is governed by the laws of India. Any dispute arising from or relating to this Policy or the Partner Program shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.
